1. Acceptance of Terms

By accessing and using the Bizzuppoter website (www.bizzuppoter.com) and our services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Our Services

Bizzuppoter Pvt Ltd provides digital transformation solutions including:

• Application Development: Custom software and mobile applications
• Business Automation: Workflow optimization and process automation
• Website Development: Professional websites and e-commerce solutions
• Marketing Services: Digital marketing and brand development
• Business Planning: Strategic planning and reporting solutions
• Profile Creation: Online presence and digital identity services
• Digital Integration: Platform integration and API development

3. User Responsibilities

You agree to:

• Provide accurate and complete information when engaging our services
• Use our services only for lawful purposes and in accordance with these terms
• Not attempt to gain unauthorized access to our systems or networks
• Not use our services to transmit harmful, offensive, or illegal content
• Respect intellectual property rights of Bizzuppoter and third parties
• Maintain the confidentiality of any login credentials provided

4. Payment Terms

4.1 Service Fees

Service fees are as quoted in your project proposal or service agreement. All prices are in USD unless otherwise specified.

4.2 Payment Schedule

• Project-based services: Payment schedule as outlined in project agreement
• Ongoing services: Monthly or as agreed in service contract
• Rush projects: May require upfront payment

4.3 Late Payments

Late payments may result in suspension of services and additional fees. Outstanding balances may accrue interest at 1.5% per month.

5. Intellectual Property

5.1 Our IP Rights

All content, designs, methodologies, and proprietary tools developed by Bizzuppoter remain our intellectual property unless explicitly transferred in writing.

5.2 Client IP Rights

Upon full payment, clients receive specified rights to deliverables as outlined in project agreements. Client-provided content and data remain client property.

5.3 Third-Party Components

Solutions may include third-party components subject to their respective licenses. Client is responsible for compliance with such licenses.

6. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for services in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• We do not guarantee uninterrupted or error-free service
• Client is responsible for backing up their data
• We are not liable for third-party service failures or data breaches

7. Termination

7.1 Termination by Client

Clients may terminate services with 30 days written notice. Fees for completed work and expenses incurred are due upon termination.

7.2 Termination by Bizzuppoter

We may terminate services immediately for:

• Non-payment of fees
• Breach of these terms
• Illegal or harmful use of our services
• Client behavior that endangers our staff or operations

8. Governing Law

These terms are governed by the laws of Sri Lanka. Any disputes shall be resolved through:

• First: Good faith negotiation between parties
• Second: Mediation if negotiation fails
• Third: Arbitration under Sri Lankan arbitration laws
• Jurisdiction: Courts of Colombo, Sri Lanka for any legal proceedings

9. Changes to Terms

We may update these terms periodically. When we do:

• Updated terms will be posted on this page
• We will update the "Last Updated" date
• For significant changes, we will notify active clients by email
• Continued use of services constitutes acceptance of updated terms
